NOTICE TO USER: PLEASE READ THIS AGREEMENT (“AGREEMENT”) CAREFULLY PRIOR TO INSTALLING THIS APPLICATION (“APPLICATION), DEVELOPED BY EXPERIMENTAL SCIENTIFIC-RESEARCH AND METHODOLOGY CENTER “SIMULATION SYSTEMS” (“SIMULATION SYSTEMS LTD.”). THIS LICENSE IS A LEGAL AGREEMENT CONCERNING THE USE OF SOFTWARE BETWEEN YOU, THE END USER, AND “SIMULATION SYSTEMS LTD.”. BY USING ALL OR ANY PORTION OF THE SOFTWARE YOU ACCEPT ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT, INCLUDING, IN PARTICULAR THE LIMITATION ON: USE, MODIFICATION, COMBINATION WITH OTHER SOFTWARE, TRANSFERABILITY, WARRANTY AND LIABILITY. YOU AGREE THAT THIS AGREEMENT IS ENFORCEABLE LIKE ANY WRITTEN NEGOTIATED AGREEMENT SIGNED BY YOU. IF YOU DO NOT AGREE WITH THE ABOVE PROVISIONS, DO NOT USE THIS SOFTWARE.

Right of Ownership

The Application and its copies are intellectual property of and are owned by

“Simulation Systems Ltd.”. The structure, organization and code of the Application are valuable commercial secrets and confidential information of “Simulation Systems Ltd.”. You agree not to reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Application except as expressly permitted under applicable law. All intellectual property rights (including, without limitation, copyrights, trade secrets, trademarks, patents, etc.) evidenced by or embodied in and/or attached/connected/related to the Application are and shall be owned solely by “Simulation Systems Ltd.”. Nothing in this Agreement constitutes a waiver of “Simulation Systems Ltd.” intellectual property rights under any law.

License

“Simulation Systems Ltd.” hereby grants to you, and you accept, a personal, nonexclusive, non-transferable, non-commercial, non-sublicensable, limited license to use the Application on mobile device that you own or control in accordance with the terms contained in this Agreement. “Simulation Systems Ltd.” reserves all rights not expressly granted herein.

Prohibited Uses

Except as specifically permitted herein, without the prior written consent of “Simulation Systems Ltd.” you agree not to:

(1) modify, incorporate into or with other software, or create a derivative work of any part of the Application;
(2) sell, license (or sub-license), lease, assign, transfer, pledge, or share your rights under this Agreement with or to anyone else;
(3) copy, distribute or reproduce the Application for the benefit of third parties;
(4) disclose the results of any benchmarking of the Application, or use such results for your own competing software development activities;
(5) modify, disassemble, decompile, reverse engineer, revise or enhance the Application or attempt to discover the Application’s source code.

Maintenance and Support

“Simulation Systems Ltd.” has no obligation to provide support, maintenance, upgrades, modifications, or new releases of the Application under this Agreement. However,
“Simulation Systems Ltd.” may from time to time issue upgraded versions of the Application, eliminating the errors and faults encountered in its operation.

Warranty disclaimer

The Application is provided “as is”, without quality assurance or any warranties of any kind, express or implied. “Simulation Systems Ltd.” does not warrant that the Application will meet your requirements or that the Application's operation will be uninterrupted or error-free.
“Simulation Systems Ltd.” expressly disclaims all express warranties, including, but not limited to, warranties of title or non-infringement, and all implied warranties.

Exclusion of Consequential Damages

“Simulation Systems Ltd.” shall not be liable to you or any third party for any loss or damage (including indirect, special or consequential damages), including, without limitation, any loss or damage to business earnings, lost profits or goodwill and lost or damaged data or documentation, suffered by any person, arising from and/or related with and/or connected to any use of the Application, even if “Simulation Systems Ltd.” is advised of the possibility of such damages.

Indemnity

You agree to defend, indemnify, and hold harmless “Simulation Systems Ltd.” and its directors, employees and representatives, from and against all claims, losses, costs, damages, liabilities, and expenses (including but not limited to attorneys fees) arising out of any violation of the terms of this Agreement.

General Provisions

This Agreement contains the entire understanding between the parties relating to its subject matter and comes into effect automatically at the moment of copying the Application on any technical device. This Agreement may only be modified by a physically signed writing between you and an authorized agent of “Simulation Systems Ltd.”.
